SeoSensen käyttöehdot (tämä ”Sopimus”)

Tämä Sopimus sääntelee sitoutumistasi SeoSenseen, joka on Webseller OÜ:n tavaramerkki (”SeoSense”), SEO-sisältöpalveluiden tarjoamiseksi. SeoSenseen ja asiakkaaseen voidaan viitata yhdessä ”Osapuolina” tai erikseen ”Osapuolena”.

1. EHTOJEN HYVÄKSYMINEN

Tämä sopimus on voimassa ja asiakas sitoutuu noudattamaan sitä siitä päivästä alkaen, jolloin (a) vahvistaa tarjouksen sähköpostitse tai muulla tavoin, (b) kuittaa tilausvahvistuksen tai (c) käyttää ensimmäisen kerran SeoSensen tarjoamia palveluita tai käyttää niitä, riippuen siitä, kumpi näistä ajankohdista on aikaisempi (”Voimaantulopäivä”). Jos hyväksyt tämän Sopimuksen yrityksen tai muun yhteisön puolesta, vakuutat ja takaat, että sinulla on valtuudet sitoa kyseinen yhteisö tämän Sopimuksen ehtoihin.

2. MÄÄRITELMÄT

  • ”Palveluilla” tarkoitetaan SeoSensen tarjoamia SEO-sisällön luonti-, optimointi- ja toimituspalveluita, mukaan lukien, mutta ei rajoittuen, valittujen avainsanojen perusteella tapahtuva sisällön luominen ja käyttöönotto.
  • ”Asiakas” tarkoittaa SeoSense-palveluja tilaavaa yritystä tai yhteisöä.
  • ”Tilausvahvistus” tarkoittaa yhteisesti sovittua asiakirjaa, sähköpostia tai muuta viestintää, jossa vahvistetaan tarjottavien palvelujen yksityiskohdat, mukaan lukien laajuus, hinnoittelu ja takuut.
  • ”Sisällöntoimitus” tarkoittaa menetelmää, jolla SEO-sisältö toimitetaan asiakkaan verkkosivustolle, mikä voi sisältää API:n, liitännäisohjelmat, CSV:n, XML:n tai muita muotoja.
  • ”Tulosten mittaaminen” tarkoittaa prosessia, jossa seurataan ja analysoidaan toimitetun sisällön vaikutusta asiakkaan orgaaniseen liikenteeseen, kuten sopimuksessa on määritelty.

3. PALVELUT; PÄÄSY JA KÄYTTÖ

Palvelujen tarjoaminen: Tämän Sopimuksen voimassaoloaikana SeoSense luo ja toimittaa SEO-optimoitua sisältöä SeoSensen valitsemien tai asiakkaan kanssa sovittujen avainsanojen perusteella. Sisältö toimitetaan Asiakkaan verkkosivustolle käyttäen sovittuja menetelmiä, kuten API-integraatiota, liitännäisiä tai muita määriteltyjä muotoja.

Käyttörajoitukset: Asiakas saa käyttää toimitettua sisältöä ainoastaan aiottuun tarkoitukseensa ja tämän sopimuksen mukaisesti. Asiakas ei saa yrittää käänteismuokkausta, jälleenmyyntiä tai uudelleenkäyttöä sisältöä sovitun soveltamisalan ulkopuolisiin käyttötarkoituksiin.

4. MAKSUT JA MAKSAMINEN; HINNOITTELU JA TAKUU

Maksut: Asiakas sitoutuu maksamaan tilausvahvistuksessa esitetyt maksut. SeoSense laskuttaa 20 % tilauksen kokonaisarvosta tilauksen vahvistamisen yhteydessä. Loput 80 % laskutetaan, kun SeoSense toimittaa luvatut tulokset sovituilla työkaluilla mitattuna, yleensä kolmen kuukauden kuluessa.

Takuu: SeoSense takaa, että toimitetulla sisällöllä saavutetaan määritetty orgaanisen liikenteen kasvu tilausvahvistuksessa esitetyssä aikataulussa. Jos tulokset eivät vastaa luvattua tasoa, asiakas ei ole vastuussa lopuista 80 prosentista palvelumaksusta. Jos tulokset ovat alle 50 % luvatusta tasosta, SeoSense palauttaa alkuperäisen 20 %:n maksun.

5. ORGAANISEN LIIKENTEEN LASKENTA JA KOLMANNEN OSAPUOLEN TYÖKALUT

Liikenteen mittaaminen: SeoSense käyttää Ahrefsia tai muuta sovittua kolmannen osapuolen työkalua Asiakkaan orgaanisen liikenteen mittaamiseen. Perustason (lähtötason) liikenne määritetään päivää ennen sisällön käyttöönottoa Asiakkaan verkkosivustolla. Jos käyttöönotto viivästyy yli viisi (5) päivää, mitataan uusi perustaso.

Tuotemerkkiin liittyvän liikenteen poissulkeminen: Perustasoa määritettäessä ja tuloksia mitattaessa SeoSense sulkee pois tuotemerkkiin liittyvien hakusanojen tuottaman liikenteen. Näin varmistetaan, että SeoSensen palveluiden ansioksi luettava liikenteen kasvu keskittyy muihin kuin brändin orgaanisiin hakusanoihin, mikä antaa selkeämmän kuvan SEO-toimien vaikutuksesta.

Tulosten seuranta: SeoSense seuraa liikennettä viikoittain ja toimittaa asiakkaalle säännöllisesti päivityksiä. Asiakkaalle ilmoitetaan, kun luvatut tulokset on saavutettu. Kaikki liikennetiedot, mukaan lukien tuotemerkkiin liittyvien hakusanojen poissulkemisen yksityiskohdat, jaetaan asiakkaalle Google Sheetsin, CSV:n, Excelin tai muun sovitun muodon kautta.

6. LUOTTAMUKSELLISET TIEDOT JA TIETOSUOJA

Luottamuksellisuus: Molemmat osapuolet sitoutuvat säilyttämään tämän sopimuksen yhteydessä vaihdettujen arkaluonteisten tietojen luottamuksellisuuden. Luottamuksellisiin tietoihin ei lueta tietoja, jotka ovat yleisesti tiedossa tai jotka on saatu oikeutetusti kolmannelta osapuolelta ilman salassapitovelvollisuuden rikkomista.

Tietosuoja: SeoSense noudattaa yleistä tietosuoja-asetusta (GDPR) ja muita sovellettavia tietosuojalakeja asiakkaan mahdollisesti jakamien henkilötietojen käsittelyssä. SeoSense käsittelee tällaisia tietoja ainoastaan palvelujen tarjoamista varten, ja asiakas säilyttää tietojensa täyden omistusoikeuden ja hallinnan. SeoSense toteuttaa asianmukaiset tekniset ja organisatoriset toimenpiteet varmistaakseen riskiin nähden asianmukaisen turvallisuustason. Jos asiakkaan tietoihin kohdistuu tietoturvaloukkaus, SeoSense ilmoittaa siitä asiakkaalle ilman aiheetonta viivytystä.

7. IMMATERIAALIOIKEUDET

Asiakkaan materiaalit: Asiakkaalla säilyy omistusoikeus kaikkeen SeoSenselle sisällön luomisessa käytettäväksi toimitettuun materiaaliin. SeoSense säilyttää omistusoikeuden sisällön luomisessa käytettyihin menetelmiin ja prosesseihin.

8. SOVELLETTAVA LAKI JA TOIMIVALTA

Tähän sopimukseen sovelletaan Viron lakeja ja sitä tulkitaan Viron lakien mukaisesti. Tästä sopimuksesta aiheutuvat riidat ratkaistaan Harjumaan, Viron tuomioistuimissa. Osapuolet hyväksyvät näiden tuomioistuinten yksinomaisen toimivallan.

9. PALVELUIHIN JA TÄHÄN SOPIMUKSEEN TEHTÄVÄT MUUTOKSET

Muutokset: SeoSense pidättää oikeuden muuttaa Palveluita tarpeen mukaan. Kaikista tämän sopimuksen ehtoihin tehtävistä olennaisista muutoksista ilmoitetaan asiakkaalle, ja ne tulevat voimaan sopimuksen seuraavan uusimisen yhteydessä, ellei toisin mainita.

10. PALVELUN KESTO JA PÄÄTTYMINEN

Palvelun laajuus: SeoSense tarjoaa kertaluonteisen palvelun, joka perustuu Asiakkaan tilaukseen SEO-sisällöstä, joka on räätälöity tietylle määrälle avainsanoja (yleensä 1000, ellei toisin sovita). Palvelu sisältää seuraavaa:

  1. Avainsanojen analysointi ja valinta: SeoSense analysoi asiakkaan markkinarako ja kohdemarkkinat, jotta voidaan tunnistaa ja valita tehokkaimmat avainsanat, avainsanalausekkeet tai avainsanojen aiheet.
  2. Sisällön tuottaminen: SeoSense luo SEO-optimoitua sisältöä valittujen avainsanojen pohjalta. Tämä sisältö soveltuu integroitavaksi asiakkaan verkkosivustoon, mukaan lukien alasivut, tuotekortit, mallistosivut tai muut asiaankuuluvat osiot.
  3. Sisällön toteuttaminen: SeoSense tuo luodun sisällön asiakkaan verkkosivustolle API:iden, liitännäisten tai muiden määritettyjen menetelmien avulla.

Palvelun loppuunsaattaminen: Palvelun katsotaan olevan valmis, kun SeoSense on toimittanut ja toteuttanut sisällön sovittua määrää avainsanoja varten (esim. 1000 avainsanaa) asiakkaan verkkosivustolle. Palvelun valmistuttua SeoSensen sopimusvelvoitteet on täytetty, lukuun ottamatta liikenteen kasvutakuuta.

Liikenteen kasvutakuu: Sisällön käyttöönoton valmistumisen jälkeen SeoSense takaa orgaanisen liikenteen kasvun vähintään 30 % (tai kuten tarjouksessa tai tilausvahvistuksessa on muutoin määritelty) kolmen (3) kuukauden kuluessa. Kasvu mitataan tämän sopimuksen kohdassa 5 esitetyillä menetelmillä.

Sopimuksen täyttäminen: Sopimus katsotaan täysin täytetyksi, kun sisältö on toimitettu, toteutettu ja määritetty orgaanisen liikenteen lisäys on saavutettu tai kolmen kuukauden ajanjakso on kulunut, sen mukaan, kumpi tapahtuu ensin. Jos luvattu liikenteen lisäys saavutetaan ennen kolmen kuukauden jakson päättymistä, sopimus katsotaan täytetyksi siinä vaiheessa.

 

SeoSense Terms of Service (this “Agreement”)

This Agreement governs your engagement with SeoSense, a trademark of Webseller OÜ (“SeoSense”), for the provision of SEO content services. SeoSense and the Client may be referred to collectively as the “Parties” or individually as a “Party”.

1. AGREEMENT TO TERMS AND CONDITIONS

This Agreement is effective, and you agree to be bound by it as of the date you (a) confirm the offer by email or other means, (b) acknowledge the Order Confirmation, or (c) first use or access the Services provided by SeoSense, whichever is earlier (“Effective Date”). If you accept this Agreement on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to the terms and conditions of this Agreement.

2. DEFINITIONS

  • “Services” refers to the SEO content creation, optimization, and delivery services provided by SeoSense, including but not limited to the creation and deployment of content based on selected keywords.

  • “Client” refers to the company or entity ordering services from SeoSense.

  • “Order Confirmation” means the mutually agreed-upon document, email, or other communication confirming the details of the Services to be provided, including the scope, pricing, and guarantees.

  • “Content Delivery” refers to the method of delivering SEO content to the Client’s website, which may include API, plugins, CSV, XML, or other formats.

  • “Results Measurement” refers to the process of tracking and analyzing the impact of the delivered content on the Client’s organic traffic, as defined in the Agreement.

3. SERVICES; ACCESS AND USE

Provision of Services: During the term of this Agreement, SeoSense will create and deliver SEO-optimized content based on keywords selected by SeoSense or agreed upon with the Client. The content will be delivered to the Client’s website using agreed-upon methods, such as API integration, plugins, or other specified formats.

Use Restrictions: The Client shall use the delivered content solely for its intended purpose and in accordance with this Agreement. The Client shall not attempt to reverse engineer, resell, or repurpose the content for uses outside the agreed scope.

4. FEES AND PAYMENT; PRICING AND GUARANTEE

Fees: The Client agrees to pay the fees outlined in the Order Confirmation. SeoSense will invoice 20% of the total order value upon confirmation of the order. The remaining 80% will be invoiced once SeoSense delivers the promised results as measured by the agreed-upon tools, typically within three months.

Guarantee: SeoSense guarantees that the delivered content will achieve the specified increase in organic traffic within the time frame outlined in the Order Confirmation. If the results do not meet the promised levels, the Client is not liable for the remaining 80% of the service fee. If the results are less than 50% of the promised level, SeoSense will refund the initial 20% payment.

5. ORGANIC TRAFFIC COUNTING AND THIRD-PARTY TOOLS

Traffic Measurement: SeoSense will use Ahrefs or another agreed-upon third-party tool to measure the Client’s organic traffic. The baseline (entry-level) traffic will be established one day prior to the content being deployed to the Client’s website. If deployment is delayed by more than five (5) days, a new baseline will be measured.

Exclusion of Brand-Related Traffic: When establishing the baseline and measuring the results, SeoSense will exclude traffic generated from brand-related search terms. This ensures that the traffic growth attributed to SeoSense’s services is focused on non-branded organic search terms, providing a clearer picture of the impact of the SEO efforts.

Results Monitoring: SeoSense will monitor the traffic weekly and will provide regular updates to the Client. The Client will be informed when the promised results are achieved. All traffic data, including the details of brand-related search term exclusions, will be shared with the Client via Google Sheets, CSV, Excel, or another agreed-upon format.

6. CONFIDENTIAL INFORMATION AND DATA PRIVACY

Confidentiality: Both Parties agree to maintain the confidentiality of any sensitive information exchanged in connection with this Agreement. Confidential Information does not include information that is publicly known or was rightfully acquired from a third party without breach of any obligation of confidentiality.

Data Privacy: SeoSense will comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws regarding the processing of any personal data that may be shared by the Client. SeoSense will process such data solely for the purposes of providing the Services, and the Client retains full ownership and control over their data. SeoSense will implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk. In case of any data breach affecting Client data, SeoSense will notify the Client without undue delay.

7. INTELLECTUAL PROPERTY RIGHTS

Client Materials: The Client retains ownership of all materials provided to SeoSense for use in content creation. SeoSense retains ownership of the methodologies and processes used to create the content.

8. GOVERNING LAW AND JURISDICTION

This Agreement will be governed by and construed in accordance with the laws of Estonia. Any disputes arising from this Agreement shall be resolved in the courts of Harjumaa, Estonia. The Parties agree to the exclusive jurisdiction of these courts.

9. CHANGES TO THE SERVICES AND THIS AGREEMENT

Modifications: SeoSense reserves the right to modify the Services as necessary. Any substantial changes to the terms of this Agreement will be communicated to the Client and will take effect at the next renewal of the Agreement unless otherwise specified.

10. SERVICE TERM AND COMPLETION

Service Scope: SeoSense provides a one-time service based on the Client’s order for SEO content tailored to a specified number of keywords (normally 1000, unless agreed otherwise). The service includes the following:

  1. Keyword Analysis and Selection: SeoSense will analyze the Client’s niche and target market to identify and select the most effective keywords, keyword phrases, or keyword topics.

  2. Content Generation: SeoSense will create SEO-optimized content based on the selected keywords. This content will be suitable for integration into the Client’s website, including subpages, product cards, collection pages, or other relevant sections.

  3. Content Implementation: SeoSense will import the generated content into the Client’s website using APIs, plugins, or other specified methods.

Completion of Service: The service is considered complete once SeoSense has delivered and implemented the content for the agreed-upon number of keywords (e.g., 1000 keywords) into the Client’s website. Upon completion, SeoSense’s contractual obligations are fulfilled, except for the traffic increase guarantee.

Traffic Increase Guarantee: Following the completion of the content implementation, SeoSense guarantees an increase in organic traffic of at least 30% (or as otherwise specified in the offer or Order Confirmation) within three (3) months. The increase will be measured using the methods outlined in Section 5 of this Agreement.

Fulfillment of Contract: The contract is considered fully fulfilled once the content is delivered, implemented, and the specified increase in organic traffic is achieved or the three-month period has elapsed, whichever occurs first. If the promised increase in traffic is achieved before the three-month period ends, the contract will be deemed fulfilled at that point.
